During the period of a license, a licensee who changes their address or, being a corporation, its corporate identity, or the scope of its trade or business shall notify the Board no later than thirty days after such change of address, corporate identity or scope. Documents required are based on the change to the licence. The Trade & Business Licensing Board will review submitted amendments and make a decision accordingly.
In an effort to best assist our clients, we have outlined the various amendments that may take place and the documentation needed to complete the amendment application.
Addition of Shareholders or Directors for Registered Company Trade and Business License
- Cover letter requesting changes or DCI Request & Notice form Request & Notice Form
- Stamped documentation by Registrar of Companies confirming changes
- New lists of Shareholders, Directors for the existing T&B licensed company
- Copy of Company Resolution relating to the changes in shareholdings or directorship
- Copy of ID for authorised signatory on documents
- Annual Returns and lists for all shareholder companies
- Due Diligence on all beneficial shareholders and directors
- Non-Caymanian: police clearance certificates, bank references (or local CI utility bill), certified copies of colour passport
- Caymanians/Status Holders: certified colour copy of passports, copy of status letter/certificate, birth certificate if born in the Cayman Islands
- Companies: Certificate of Incorporation, Current Year's stamped annual returns and registers, due diligence for any beneficial owners/directors of the company

Removal (only) of Shareholders or Directors for Registered Company Trade and Business Licenses
- Cover letter requesting changes or the DCI Request & Notice form (see link above)
- Stamped documentation by Registrar of Companies confirming changes
- New lists of shareholders, directors for the existing Trade and Business licensed company
- Copy of Company Resolution relating to changes
- Annual Returns and Registers for all shareholder companies
- Copy of ID for authorised signatory on documents
**There is NO fee for this type of amendment**
Amending Unregistered Partnership Trade and Business Licenses to add/remove another Caymanian Sole Trader
- Amendment form signed by both parties Amendment Form
- Cover letter requested that another person be added/removed (signed by both persons)
- Copies of the following documents for the person being added:
- Colour copy of passport and Caymanian Status/Naturalisation/Birth Certificate
- Copy of signature ID for original licensee for verification
- Amendment fee CI$50.00
Amendment applications may be made online at the time of a Trade & Business License renewal or, before 90 days prior to expiry of the license, or submitted at the DCI business licensing counter located on the ground floor of the Government Administration Building. Standard processing time for amendments is between three to six weeks.
Amendments to the licence, except in a way that has the effect of transferring or reassigning a licence may be approved by the Board.
